These Terms of Service constitute a legally binding agreement between Mosarrof Sabuz ("the Studio," "we," or "Lead Developer") and the individual or entity commissioning our digital services ("the Client" or "you").
Our professional scope encompasses three core specialized disciplines:
Professional WordPress websites, WooCommerce stores, business pages, and landing pages with clean structure and responsive layouts.
Custom web applications, CRM systems, admin dashboards, customer portals, REST APIs, and PHP backends built for scalability.
Brand identity systems, logos, social media posts, banners, posters, and marketing graphics designed around business credibility.
Proposals & Statements of Work (SOW)
Every custom engagement is preceded by an itemized Statement of Work (SOW) or formal electronic proposal detailing exact deliverables, milestone delivery estimates, technical prerequisites, and fixed project investment totals.
Written acceptance of a proposal (via email confirmation, electronic signature, or deposit transfer) constitutes formal ratification of the agreed scope and these overarching Terms.
Milestone Deposit & Payment Schedule
We maintain an equitable, milestone-backed deposit schedule:

Invoices are payable within 7 business days via secure International Bank Wire (SWIFT), Stripe, Payoneer, or Wise.
Client Responsibilities & Timely Approvals
Efficient delivery relies on active client cooperation:
- Prerequisite Assets: The client is responsible for supplying brand copy, photography, video assets, staging credentials, and third-party API keys within 5 business days of kickoff.
- Review Cycles: The client agrees to review staging milestones and provide consolidated feedback within 5 business days of demonstration.
- Content Accuracy: The client warrants that all provided content (text, trademarks, photography) does not infringe upon third-party copyrights.
100% Intellectual Property & Code Ownership Transfer
We believe in complete client independence without vendor locks:
Upon settlement of the final completion invoice, 100% exclusive copyright, title, and ownership of all bespoke PHP/Laravel source code, WordPress FSE block files, CSS stylesheets, database migrations, Figma components, vector logos (.AI/.SVG), and GTM telemetry tags created specifically for the project pass irrevocably to the client.
Open-source core libraries (e.g. WordPress, Laravel, Tailwind CSS, Alpine.js) remain governed by their standard MIT/GPL licenses.
30-Day Post-Launch Technical Warranty
Every custom engineering project includes a complimentary 30-day technical warranty commencing on live DNS launch:
- Software bugs or PHP errors within original scope.
- CSS responsive layout glitches across devices.
- Core Web Vitals speed regressions under standard load.
- Analytics and tracking script integration errors.
- Modifications made by client or third-party developers.
- New feature requests outside original SOW scope.
- Hosting server outages, cPanel crashes, or DNS failures.
- Third-party API breaking changes (e.g. Meta API v21 deprecations).
Confidentiality & Mutual Non-Disclosure
Both parties agree to treat all business plans, unreleased wireframes, database credentials, marketing funnels, and proprietary software architecture as strictly confidential.
Unless explicitly restricted by a separate formal non-disclosure agreement (NDA), the Studio reserves the right to display the completed visual designs and high-level case study metrics in professional portfolio showcases.
Scope Adjustments & Change Requests
Should the client request features, integrations, or layouts exceeding the original Statement of Work:
- The Studio will provide an itemized Change Order quote specifying the supplementary fee and revised delivery timeframe.
- Work on additional features begins only upon written client approval of the Change Order.
- Core project milestones remain scheduled according to the initial timeline unless mutually adjusted.
Project Cancellation & Milestone Settlement
Either party may terminate an engagement with 10 business days' written notice:
- The initial 50% deposit is non-refundable once architectural wireframing or core coding has commenced, covering incurred labor and reserved production scheduling.
- Upon cancellation, the client will be delivered all completed code, designs, and assets created up to the date of termination, proportional to payments received.
Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law:
Neither party shall be liable for indirect, incidental, special, or consequential damages (including loss of profits, data corruption, or server downtime). Total aggregate liability of the Studio for any claims arising under a Statement of Work is strictly limited to the total fees actually paid by the client under that specific agreement.
Governing Law: Laws of Bangladesh (with international commercial arbitration provisions)
